Taking a company to listing is an important milestone. On the road from pre-IPO to a successful listing, a company faces not only a test of business scale but a full examination of its governance standards and capital-markets capability. The make-up of the senior team, especially the core roles in finance, legal and governance, directly affects whether the listing process runs smoothly.
In our work with pre-IPO companies, YUNLUE Consulting sees many that already have the business foundation for listing but have clear gaps in their senior team. Some still have the founding-era team running finance, without capital-markets experience. Some only realise during the listing tutoring stage that they need a Board Secretary. Some still understand Independent Directors as people of repute brought in to lend credibility. If these gaps are not closed in time, they can become obstacles on the listing path.
1. New expectations for the senior team at pre-IPO companies
Once a company enters the pre-IPO stage, expectations of the senior team change qualitatively. This is not simply a matter of stronger capability but a systematic upgrade of the capability structure.
First, the bar on financial compliance rises sharply. Listing means the company's financial position will face strict regulatory review and public scrutiny. Many companies have been flexible in financial management, with departures from standard practice in tax, revenue recognition and cost accounting. At the pre-IPO stage these must be brought into line with accounting standards and regulatory requirements. The head of finance must understand not only business management but also the financial rules of the capital markets.
Second, the governance structure must be formalised. A listed company must have a sound governance structure, including the proper operation of the shareholders' meeting, the board and the supervisory board, the establishment of an Independent Director system and complete information disclosure. Many privately owned enterprises have simple governance before listing, with short and efficient decision chains but insufficient rigour. Entering the pre-IPO stage, they must gradually build a governance system that meets listed-company requirements, which calls for people with expertise in corporate governance.
Third, disclosure and capital-markets communication. A listed company must disclose information continuously, accurately and on time, and communicate effectively with investors, analysts and regulators. This is not simply a matter of being articulate. It requires a deep understanding of capital-markets rules and the ability to explain the company's value in language investors understand. The Board Secretary plays a pivotal role here.
Finally, a broad upgrade of risk control and compliance management. Listing is not only a way to raise capital; it is a step change in corporate governance. Legal compliance, internal control and risk management, often seen in the past as cost centres, become core infrastructure for a pre-IPO company.
These changes set entirely new expectations for the senior team. What a company needs is not simply people with experience but people with capital-markets experience who understand listing rules and can help the business move from private to public status.
2. The key roles pre-IPO companies typically need
At the pre-IPO stage, companies usually have clear talent needs in the following roles. YUNLUE Consulting helps define priorities and the Job Portrait for each role, based on the specific listing timetable and current governance standards.
CFO (Chief Financial Officer). The CFO is one of the most critical senior roles at a pre-IPO company. A capable pre-IPO CFO must formalise the finance function and also lead financial due diligence, audit coordination, the financial sections of the prospectus, and financial communication with investment banks and regulators. After listing, the CFO takes on investor relations, information disclosure and market value management. When assessing CFO candidates, YUNLUE Consulting pays particular attention to several points: whether they have completed an IPO end to end; whether they know the regulatory requirements of the target listing board; whether they have worked all the way from financial regularisation to completion of a listing; and whether they can handle investor communication and market value management.
Board Secretary. The Board Secretary is the hub of listed-company governance, responsible for information disclosure, investor relations, corporate governance and the operation of the three meetings (shareholders, board and supervisors). Many companies misunderstand the role, seeing it as producing documents or managing relationships. A good Board Secretary is a corporate governance professional with a deep understanding of company law, securities law and listing rules, able to balance regulatory requirements, shareholder interests and the company's development. Timing also matters: if a Board Secretary is only appointed just before the listing application, unfamiliarity with the company can reduce the quality of the work.
Head of Legal and Compliance. At the pre-IPO stage a company faces substantial legal and compliance work, including reviewing its corporate history, confirming intellectual property, reviewing major contracts and screening for compliance risk. The head of legal and compliance must handle day-to-day legal work and support the listing process, coordinating with the law firm so that the company meets listing requirements on the legal side. After listing, the legal and compliance function must support the ongoing compliance of a public company.
Independent Directors. Independent Directors are an important part of listed-company governance. Many companies look for a well-known name or for friends, which misunderstands what the role is for. The core value of an Independent Director lies in professionalism and independence: they need finance, legal or industry backgrounds and must be able to give professional advice on company decisions from an independent standpoint and protect the interests of minority shareholders. When helping companies appoint Independent Directors, YUNLUE Consulting assesses candidates on professional background, industry experience, time available, independence and further dimensions, so that the directors genuinely contribute rather than merely lend prestige.
3. How YUNLUE defines candidates from the requirements of a listing
Pre-IPO companies cannot hire to the standards of an ordinary business. Drawing on its understanding of the capital markets and a large body of projects, YUNLUE Consulting has developed a talent assessment system for pre-IPO companies.
First, we work back from the listing route and timetable to the cadence of talent appointments. Different listing venues (the Main Board, ChiNext, the STAR Market, the Beijing Stock Exchange or an overseas listing) impose different requirements on the company and on its senior team. How tight the timetable is determines when senior hires must be in place and what experience they need. We work closely with the company's listing tutoring team, investment bank and law firm so that talent appointments keep pace with the listing programme.
Second, we emphasise stage fit in the Talent Portrait. A pre-IPO company needs a CFO with a different capability structure from a company that has been listed for ten years. A pre-IPO CFO needs strong project delivery and problem-solving ability, able to complete financial regularisation and listing preparation within a limited time. A mature listed company's CFO may be more focused on strategic finance and market value management. Recruiting a pre-IPO CFO to a mature listed company's specification may produce someone with rich experience who is not good at a hard campaign.
Third, we place great weight on hands-on listing experience. Many CVs state that a candidate worked at a listed company, but it matters whether they joined before or after the listing, whether they experienced the full process from filing to issuance, and whether they dealt with the sudden problems and regulator feedback that arise during a listing. Only someone who has been through a complete listing cycle truly understands the challenges and pressures of the process and can make the right calls at critical moments.
Finally, we assess organisational fit with the company. The pre-IPO stage is a period of rapid change in which the senior team must work closely together. However strong a candidate's expertise, they will struggle if they cannot work with the founding team and other executives. We assess fit with the existing team across working style, communication approach and values, so that the person brought in can not only do the job but also become part of the team.
4. Continuous support from pre-IPO through to post-listing
YUNLUE Consulting's work with pre-IPO companies is not a simple search. It is talent strategy support running alongside the company's move into the capital markets.
Before listing, we help the company map the gaps in its senior team, define the Job Portrait and appointment timetable for each role, and bring in key people systematically. Throughout, we look at the quality of individual hires and also at how well the senior team complements and works with one another, helping the company build a management team that supports the listing and the stage after it.
During the listing, we keep tracking the 90-day integration of new executives, helping them get into the role quickly and contribute to the critical work. A listing is not an endpoint but a new starting point. Our aim is to help the company achieve 180-day business success, so that new executives complete the listing task smoothly and continue to add value to the company's ongoing development afterwards.
After listing, the company faces new talent challenges: market value management, investor relations, merger integration, international expansion, and so on. These require higher-level talent. YUNLUE Consulting can stay with the company over time, helping it keep refining its talent configuration as a strategy-focused organisation and supporting its long-term development.
For a pre-IPO company, the quality of the senior team directly affects whether the listing succeeds and how well the company develops afterwards. The value of YUNLUE Consulting lies in professional judgement and extensive experience of capital-markets talent, helping companies at this crucial point find the core people who can genuinely support their move into the public markets.
